Announced in January 2026, the transaction is expected to close in the second or third quarter of 2026. This strategic move establishes IonQ as a vertically integrated provider, consolidating hardware design, chip fabrication, and advanced packaging within a single domestic U.S. infrastructure to secure its long-term supply chain.
The acquisition provides IonQ with direct access to a DMEA Category 1 Trusted foundry, which is critical for supporting federal and defense initiatives. Investors should note that the deal is expected to significantly accelerate the company’s technical roadmap, potentially pulling forward testing for its 200,000-qubit architecture to 2028. Under the terms, SkyWater shareholders will receive $15.00 in cash and $20.00 in IonQ stock per share, while the foundry continues to operate as a subsidiary serving its existing commercial base.
