STMicroelectronics completed the acquisition of NXP's MEMS sensor business for up to $950 million.

Context

STMicroelectronics completed its acquisition of the MEMS sensors business from NXP Semiconductors on February 2, 2026, finalizing a deal first announced in July 2025. The transaction is valued at up to $950 million in cash, including a $900 million upfront payment and $50 million tied to technical milestones. This move significantly bolsters STMicroelectronics’ portfolio in automotive safety—including airbag and vehicle dynamics sensors—as well as specialized industrial applications. Strategically, the acquisition is expected to elevate STMicroelectronics from the sixth to the third-largest MEMS vendor globally, positioned directly behind Bosch and Broadcom. The acquired business unit, which generated approximately $300 million in revenue in 2024, is projected to contribute roughly mid-$40 million to STMicroelectronics’ top line in the first quarter of 2026. Investors should note the deal is expected to be immediately accretive to earnings per share and supports the company’s vertically integrated manufacturing model.
