Context
Vistra has entered a definitive agreement to acquire 10 natural gas-fired power plants from Cogentrix Energy for a total consideration of approximately $4.7 billion. Announced on January 5, 2026, the deal carries a net purchase price of roughly $4.0 billion after accounting for expected tax benefits. This acquisition follows a aggressive expansion strategy by Vistra, including a $1.9 billion gas plant purchase in mid-2025, as the company scales its infrastructure to meet the unprecedented electricity demand triggered by the global AI data center boom.
The transaction adds approximately 5,500 megawatts of capacity across critical power markets in the Northeast, Texas, and PJM regions. For investors, these assets provide essential "dispatchable" power—reliable energy that can be adjusted instantly to support the 24/7 operations required by massive AI workloads and semiconductor facilities. Vistra is financing the move through $2.3 billion in cash, $900 million in stock, and the assumption of $1.5 billion in debt.
